Welcome to Ontario’s Genomics Sector Innovation Network (G-SIN) Portal (the “Site”), a website developed and operated by the Ontario Genomics Institute (“OGI”). This Site provides data and other information on the genomics sector in Ontario for use in the public and private sectors (the “Content”), and other services that aim to facilitate and support links between science, industry and capital within the sector (the “Services”). These Services include the posting and display of online profiles for researchers, institutions, projects and resources.

The Site, the Content and the Services are provided to you subject to your agreement to be bound by the terms and conditions of use set forth below (the “Terms and Conditions”). These Terms and Conditions constitute the entire agreement between OGI and you with respect to your use of the Site. BY VISITING OR USING THE SITE OR THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS FOR EACH VISIT TO OR USE OF THIS SITE. IF YOU DO NOT AGREE WITH ONE OR MORE OF THESE TERMS AND CONDITIONS, DO NOT ACCESS OR USE THE SITE OR THE SERVICES.

The Site is open to visitors to browse, search and read general content. However, to access certain areas of the Site, we require you to register with us. Registration is free and allows you to access other Services not available to visitors, including allowing you to post your profile online. By registering, you certify that the information you provide in the registration form is accurate. Any personal information you provide in the registration form will be collected in accordance with, and for the express purposes set out in, the Privacy Statement.

Use of Site
You agree to use the Site, the Content and the Services for your own personal use and benefit only. You may view, download and print selected portions of the Content provided on this Site as permitted under Canadian copyright laws provided that any copyright, trade-mark or other proprietary notices are retained. You may not modify any Content that you use. You may not frame the Site, the Content or the Services or any part thereof on any website. Any special terms and conditions for the use of certain Content or Services provided on the Site and included elsewhere on the Site are incorporated into, and become part of, these Terms and Conditions.  

Except as expressly provided in these Terms and Conditions, any reproduction, retransmission, distribution, sale, republication, modification, translation or creation of derivative works based on the Site, the Content and/or the Services, in whole or in part, and any decompilation, disassembly, reverse engineering or other exploitation of the Site or the Services is strictly prohibited. You acquire absolutely no rights or licences to the Site, the Content or the Services other than the limited right to use the Site, the Content and the Services in accordance with these Terms and Conditions. We reserve the right to suspend or terminate your use of the Site, the Content or the Services immediately, without notice, in our sole discretion.

New Services and New Terms
OGI may, at any time without notice or liability, and for any reason whatsoever, change, terminate, suspend or discontinue any aspect of the Site, in whole or in part, including: i) changing the availability of or restricting access to any or all Content or Services on the Site; and ii) adding, removing, modifying or otherwise changing any Content on the Site. Whenever new Services are introduced on the Site, your use of such Services will be subject to these Terms and Conditions unless we notify you otherwise. We may update these Terms and Conditions by amending or modifying the Terms and Conditions or by imposing new Terms and Conditions at any time. Your continued use of the Site, its Content and Services, following any such change indicates that you accept the Terms and Conditions as modified. OGI reserves the right, in its sole discretion, to correct any errors or omissions in any portion of the Site at any time without notice, but you acknowledge that it has no duty to do so.

Trade-marks and Copyright
Certain names, words, titles, phrases, logos, designs, graphics, icons and marks displayed on the Site, in the Content or with the Services may constitute trade-marks, trade names or copyrighted works of OGI. The Site, the Content and the Services, including any resources owned by third parties, are protected under Canadian and international copyright laws and intellectual property laws and treaty provisions.

As between OGI and you, title to the Site, the Content and the Services and the trade-marks, trade names or copyrighted works displayed on the Site remains with OGI. Nothing contained in these Terms and Conditions or on the Site shall be construed as conferring by implication, estoppel or otherwise any licence or right to use any trade-marks, trade names, copyright or other intellectual property rights of OGI or any third party. Any unauthorized use of the Site, the Content or the Services or the trade-marks, trade names, copyright or other intellectual property rights of OGI is strictly prohibited, and we reserve the right to take such steps as we deem necessary, including legal action, to enforce such rights.

Conformance with Law
This Site is controlled, operated and administered by OGI from within the Province of Ontario, Canada. OGI makes no representation or warranty that Content at this Site is appropriate or available for use at any locations outside Ontario. You agree to use the Site, the Content and the Services for lawful purposes only and in a manner consistent with all applicable local, national or international laws, rules and regulations. Potential users in any jurisdiction where laws (whether common or statutory) would: (i) void these Terms and Conditions in whole or in any essential part (the essential parts being at least, but not only, the provisions relating to the governing law and the disclaimer and limitation of liability); or (ii) render accessing the Site or the Content or using the Services illegal, are not authorized to use the Site, the Content or the Services.

User Information
Information sent to this Site over the Internet is not secure. This means that if you send information to OGI for registration purposes or through email, the information provided may be intercepted as it travels to the Site. We will not be responsible for any damages suffered by individuals as a result of the transmission or for any errors or changes made to transmitted information.

Subject to the Privacy Policy, should you provide electronically any information or materials, including registered user profiles or feedback data, such as questions, comments, suggestions or the like, regarding any information contained on the Site, such information and/or materials provided by you shall be deemed to be non-confidential and OGI shall have no obligation of any kind with respect to such information and/or materials and shall be free to reproduce, use, disclose and distribute such information and/or materials to others without limitation. You hereby grant to OGI a transferable, worldwide, perpetual, irrevocable, royalty-free, non-exclusive licence, including the right to sublicense to others, to use, reproduce, distribute, publish, modify, edit, translate, transmit, adapt and display any information and/or materials provided by you (in whole or in part) and/or incorporate such information and/or materials in any form, media or technology now known or developed in the future.

Prohibitions on User Information
If you choose to register on the Site, you will have the ability to post online profiles of researchers, institutions, projects and resources related to the genomics sector. You will not: (a) transmit, upload, post or otherwise make available any information or materials that (i) constitutes or encourages conduct, that would constitute a criminal offence or give rise to civil liability; (ii) is protected by copyright, trade-mark or other proprietary right without the express permission of the owner of the copyright, trade-mark or other proprietary right; (iii) is libellous, slanderous, defamatory, harassing, threatening or is otherwise injurious to a third party; (iv) is hateful, bigoted or racially offensive; or (v) is vulgar, obscene, discourteous, indecent or pornographic; (b) interfere with other users’ use of the Site or the Services, including, without limiting the generality of the foregoing, disrupting the normal flow of communication in a discussion group; (c) post, upload or transmit materials that contain a virus, disabling devices or other code that manifests contaminating or destructive properties; (d) post, upload or transmit materials for advertising or commercial solicitation; (e) post, upload or transmit materials that do not generally pertain to the designated topic of discussion; or (f) otherwise use the Site or the Services in a manner which would serve to restrict or inhibit any other user from enjoying the Site or the Services.

The Site contains links that may take you to the websites of third parties. OGI provides these links only as a reference to help you identify and locate other Internet resources that may be of interest to you. Such third party websites were independently developed by other parties, and the links should not be construed as our express or implied endorsement of any linked website or an affiliation with their owners or operators. We cannot and do not warrant the quality, accuracy, reliability, completeness, currency, timeliness, non-infringement, merchantability or fitness for a particular purpose of any information, data, or services available through these websites, and we disclaim any opinions expressed on such websites.

Severability
If any provision of this Agreement is held by a court of competent jurisdiction in any jurisdiction to be illegal, invalid or unenforceable, such provision shall be deemed to be severable and the remaining provisions shall remain in force and effect. OGI’s failure to insist upon or enforce strict performance of any provision of the Terms and Conditions or any right shall not be construed as a waiver of any such provision or right.

No Waiver
No waiver of any of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

Governing Law
These Terms and Conditions are governed by the laws of the Province of Ontario and the laws of Canada applicable therein and these laws apply to the use of the Site, the Content and/or the Services by you, notwithstanding your domicile, residency or physical location. The Site, the Content and the Services are intended for use only in jurisdictions where they may lawfully be offered for use and not intended for use where prohibited by law.
